Flexibility to Change Type of Work - In case of Fixed-Price Contract, there is a fair amount of clarity in the scope of work. You can only commit for a fixed-price when you really have an idea of scope. Apart from the scope of work, Known Hows are also pretty much clear, so that the buyer and seller can reach to the commitment of cost. In this, there is a low variability in the type of work. Example of this contract type is construction, engineering, Holiday packages and infrastructure projects. In Cost-Reimbursable type the amount of work is abstract. In this contract type, the idea of the buyer is not to get something in bare minimum cost but to get the goal achieved even if the direction changes in between multiple times. To protect against cost overruns, some companies define the maximum cost reimbursement the supplier cannot exceed. In Time & Materials (T&M) contract, cost unit rates are predetermined, but the man-hours and material quantity u can vary. Therefore, the total cost is not fixed while unit cost are fixed. It is a kind of hybrid contract. It has a fixed unit cost as the fixed price contracts, but the amount of material used and worked hours o may vary and will be paid accordingly. It can be summarized as the process of systematically and efficiently managing contract creation, execution, and analysis for the purpose of maximizing financial and operational performance and minimizing risk. Common commercial contracts include employment letters, sales invoices, purchase orders, and utility contracts. Complex contracts are often necessary for construction projects, goods or services that are highly regulated, goods or services with detailed technical specifications, intellectual property (IP) agreements, outsourcing and international trade. Most larger contracts require the effective use of contract management software to aid administration among multiple parties. A study has found that for "42% of enterprises...the top driver for improvements in the management of contracts is the pressure to better assess and mitigate risks" and additionally,"nearly 65% of enterprises report that contract lifecycle management (CLM) has improved exposure to financial and legal risk." During the post-award phase, it is important to ensure that contract conditions and terms are met, but it is also critical to take a closer look for items such as unrecorded liabilities, under-reported revenue or overpayments. If these items are overlooked, margin may be negatively impacted. A contract compliance audit will often commence with an opportunity review to identify the highest risk areas. Having a dedicated contract compliance (and/or governance) program in place has been shown to result in a typical recovery of 2-4% and sometimes as high as 20%. Current thinking about contract management in complex relationships is shifting from a compliance “management” to a “governance” perspective, with the focus on creating a governance structure in which the parties have a vested interest in managing what are often highly complex contractual arrangements in a more collaborative, aligned, ?exible, and credible way. In 1979, Nobel laureate Oliver Williamson wrote that the governance structure is the “framework within which the integrity of a transaction is decided.” He further added that “because contracts are varied and complex, governance structures vary with the nature of the transaction.” (See also relational contract). Eriksson and Westerberg (2011); Li, Arditi, and Wang (2012); Chen and Manley (2014), and Cardenas, Voordijk, and Dewulf (2017) have hypothesized, developed and extensively tested conceptual models in which relevant project governance instruments and factors were identified and related to the performance of construction projects. A collaborative governance framework has four components: A relationship management structure (how the parties work together to make both day to day operational decisions as well as strategic decisions) A joint performance and transformation management process designed to track the overall performance of the partnership An exit management plan as a controlling mechanism to encourage the organizations to make ethical, proactive changes for the mutual benefit of all the parties. By Lance McCarthy Lance McCarthy Lance McCarthy My 6-year-old has been honing his comedy skills, and discovered the impatient cow joke. You know this one? ***Spoiler alert*** I’m telling the joke now… “Knock Knock” “Who’s there?” “Impatient Cow” “Impatient C–” (before the other person can say “who”) “MOO!” I consider myself a humor connisseur, and this is still one of my favorite clean jokes. However, it goes from a “10” on the funny-o-meter to a “1” if the joker doesn’t say “Moo” fast enough to interrupt the jokee. (Is “jokee” a word? It is now). My son doesn’t get that it isn’t just saying the right words, the joke is all about timing. Get the timing wrong, and the whole thing dies. That is the way it works with planning for a construction project too. My architect and I were meeting with a potential client yesterday for an addition project, and they said “I wish there were a book that told you the steps for going through this process. I’m afraid of getting things in the wrong order and messing something up.” Couldn’t have said it better myself. It is scary. There are probably 153 books on Amazon on “The Steps To A Construction Project,” but why do so many people end up mystified or unsatisfied with the process? The traditional model for planning a construction project... The traditional model for planning a construction project… (Click to enlarge) Let me share a simple way we have found to help planning for a project work more better (ex-English teacher here). The secret is timing: this before that, that before the other. Imagine the design/construction process being like a giant funnel. Traditionally (the way I learned to do it 20 years ago), the client tells an architect and/or contractor what they want, the architect draws a plan, the contractor (or three or four) gives them a bid, there is some quibbling, and a contract is signed (small end of the funnel). Then as the project goes, the client, architect and contractor start discovering each others’ visions ...and the ideal model. (Click to enlarge). …and the ideal model. (Click to enlarge). “Oh, that’s our tile? That’s not our tile.” “Oh, that’s behind the wall? How did that get there?” By the time the project ends, there is a vast difference between what the client thought they would pay and what the project actually cost (big end of the funnel). Narrow to wide. To be clear, in something as complicated as changing someone’s home, there will always be unknowns. We are years into honing this process trying to remove as much uncertainty as possible — we still get surprised now and then. However, it is still possible to flip that funnel so that the process starts really vague (big end of funnel), then through a series of conversations (we call them “discoveries”), the contractor and architect discover what the client wants, and the client discovers what their needs look like and cost, which then impacts what they think they need. Vague to specific. It is a big feedback loop. A cycle. (Cue Elton John singing “The circle of lihihiiife!”) Put the right questions in the right order, the right people listening to each other at the right time, and the whole messy scary process becomes a lot less messy-scary. (Note I didn’t say it wasn’t messy-scary, just LESS messy-scary”). To sum it all up, there are a couple of key elements that will need to be a part of planning a successful project: Go from vague to specific through a series of discoveries. Timing is everything. Right things in the right order. Have the right people in the room for those conversations (you want a team of people who are each talented in different areas — design, construction, budget — that can collaboratively represent their piece of the project Get as much of the project built “on paper” as possible before signing a contract. There will still be plenty of stressful times in a big remodeling or construction project, but this will make it much more successful. The e-procurement value chain consists of indent management, e-Informing, e-Tendering, e-Auctioning, vendor management, catalogue management, Purchase Order Integration, Order Status, Ship Notice, e-invoicing, e-payment, and contract management. Indent management is the workflow involved in the preparation of tenders. This part of the value chain is optional, with individual procuring departments defining their indenting process. In works procurement, administrative approval and technical sanction are obtained in electronic format. In goods procurement, indent generation activity is done online. The end result of the stage is taken as inputs for issuing the NIT. Elements of e-procurement include request for information, request for proposal, request for quotation, RFx (the previous three together), and eRFx (software for managing RFx projects). E-procurement in the public sector is emerging internationally. Hence, initiatives have been implemented in Ukraine, India, Singapore, Estonia, United Kingdom, United States, Malaysia, Indonesia, Australia, European Union, Rwanda added by TOMMY Youn. Public sector organizations use e-procurement for contracts to achieve benefits such as increased efficiency and cost savings (faster and cheaper) in government procurement and improved transparency (to reduce corruption) in procurement services. E-procurement in the public sector has seen rapid growth in recent years. Act 590 of Louisiana's 2008 Regular Legislative Session requires political subdivisions to make provisions for the receipt of electronic bids. E-procurement projects are often part of the country’s larger e-Government efforts to better serve its citizens and businesses in the digital economy. For example, Singapore’s GeBIZ was implemented as one of the programmes under its e-Government masterplan. The Procurement G6 leads the use of e-procurement instruments in Public procurement. One more example of successful incredible reform is shown by Ukraine Prozorro. It is a result of collaboration between Ukrainian government, business sector, and civil society. This system was developed by reputable international anti-corruption organization Transparency International Ukraine with a help of volunteers, NGOs, business community and state bodies of Ukraine, the WNISEF fund, the EBRD and other partners. This field is populated by two types of vendors: big enterprise resource planning (ERP) providers which offer e-procurement as one of their services, and the more affordable services focused specifically of e-procurement. Implementing an e Procurement system benefits all levels of an organisation. E Procurement systems offer improved spend visibility and control and help finance officers match purchases with purchase orders, receipts and job tickets. An e-procurement system also manages tenders through a web site. This can be accessed anywhere globally and has greatly improved the accessibility of tenders. An example is the System for Acquisition Management (SAM), which on July 30, 2013 combined information from the former Central Contractor Registration and Online Representations and Certifications Application (ORCA), in the United States.
